Mamlakat Al-Tawoos Co. is committed to conducting business ethically and in compliance with applicable laws, international trade regulations, and industry best practices. The following policies form part of our Terms & Conditions and apply to all quotations, purchase orders, sales, and deliveries unless otherwise agreed in writing.
1. SANCTIONS, EXPORT CONTROL & END-USE COMPLIANCE POLICY

1. Purpose
Mamlakat Al-Tawoos Co. (“the Company”, “we”, “our”, or “the Seller”) is committed to conducting its business with integrity and in compliance with all applicable sanctions, export control regulations, customs requirements, and international trade laws. This includes, where applicable, the laws and regulations of the Republic of Iraq, the United Nations Security Council (UNSC), the European Union (EU), the Office of Foreign Assets Control (OFAC) of the U.S. Department of the Treasury, the Office of Financial Sanctions Implementation (OFSI) of HM Treasury in the United Kingdom, and any other competent governmental authority having jurisdiction over the transaction.
This Policy applies to all quotations, purchase orders, contracts, invoices, deliveries, and sales of goods and services supplied by the Company.
2. Scope
This Policy applies to all customers, buyers, contractors, subcontractors, distributors, agents, resellers, and any other person or entity purchasing goods or services from Mamlakat Al-Tawoos Co.
3. Buyer’s Responsibility
The Buyer represents and warrants that it is either:
The final end user of the goods; or
Duly authorized to purchase the goods on behalf of the final end user.
Where the Buyer is not the final end user, the Buyer shall be solely responsible for:
Verifying the identity of the final end user.
Verifying the intended end use.
Verifying the final destination.
Ensuring compliance with all applicable sanctions, export control, customs, and international trade laws.
Ensuring that any subsequent transfer, resale, export, re-export, or use of the goods remains fully compliant with applicable laws.
The Company is entitled to rely upon the information, declarations, and representations provided by the Buyer.
4. Sanctions Compliance
The Buyer represents, warrants, and undertakes that products supplied by Mamlakat Al-Tawoos Co. shall not be sold, supplied, transferred, exported, re-exported, delivered, installed, incorporated into another product, or otherwise made available, directly or indirectly, to or for the benefit of any sanctioned or restricted person, entity, organization, government, project, facility, vessel, aircraft, destination, or country where such activity would violate applicable sanctions or export control laws.
5. Export Control & End-Use Restrictions
The Buyer shall comply with all applicable export control, customs, import, export, re-export, and international trade laws governing the purchase, transfer, storage, distribution, and use of products supplied by the Company.
The Buyer shall obtain any licenses, permits, approvals, or governmental authorizations required under applicable law.
Unless otherwise agreed in writing by the Company, the Buyer shall not use, transfer, or supply products purchased from the Company for any unlawful purpose or for any prohibited military, nuclear, chemical, biological, missile-related, or other restricted activities prohibited under applicable law.
6. Notification Obligation
The Buyer shall promptly notify the Company if:
The intended end user changes;
The intended end use changes;
The destination changes;
Ownership of the goods changes before final delivery; or
Any information becomes known that may affect compliance with applicable sanctions or export control laws.
7. Right to Refuse or Cancel
Mamlakat Al-Tawoos Co. reserves the right, at its sole discretion, to refuse, suspend, delay, or cancel any quotation, purchase order, shipment, or delivery where the Company reasonably believes that the transaction may violate applicable sanctions, export control laws, customs regulations, or international trade requirements.
The Company shall not be liable for any loss, delay, cost, or damages resulting from such action.
8. Buyer’s Indemnity
The Buyer agrees to defend, indemnify, and hold harmless Mamlakat Al-Tawoos Co., its directors, officers, employees, shareholders, affiliates, and representatives from and against any and all claims, penalties, fines, investigations, liabilities, losses, damages, costs, legal fees, and expenses arising directly or indirectly from:
Any breach of this Policy;
Inaccurate, incomplete, or misleading information provided by the Buyer;
Any onward sale, transfer, export, re-export, or use of the goods following delivery by the Company; or
Any failure by the Buyer or any subsequent recipient to comply with applicable trade laws.
9. Reliance on Buyer’s Information & Acceptance
The Company is entitled to rely upon all information and representations provided by the Buyer. Acceptance of any quotation, purchase order, invoice, payment, shipment, or delivery shall constitute the Buyer’s unconditional acceptance of this Policy and applicable trade compliance requirements. No separate signature shall be required unless specifically requested.
10. Governing Law & Jurisdiction
This Policy shall be governed by and construed in accordance with the laws of the Republic of Iraq, unless explicitly agreed otherwise in writing. The courts of the Republic of Iraq shall have jurisdiction over any dispute arising out of or in connection with this Policy.
11. Amendments
The Company reserves the right to amend or update this Policy at any time. The latest version published on the Company’s official website shall apply to all future transactions.
